Terms of Service

Standard Master Services Agreement (MSA) framework for all consulting engagements.

1. Acceptance of Terms

By accessing this website or engaging Usama Idrees ("Consultant", "I", "me") for services, you ("Client") agree to these Terms. These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and the Consultant.

2. Description of Services & Team

I provide specialized infrastructure optimization, cloud architecture design, and DevOps engineering services. Specific scope, deliverables, and timelines are set forth in a Statement of Work (SOW).

2.1 Subcontracting & Delegation

You acknowledge that for large-scale projects, I may delegate portions of the Services to qualified subcontractors ("Representatives"). I remain fully responsible for their performance and compliance with all security/confidentiality obligations.

3. Intellectual Property Rights

Client Ownership

You own all "Client Data" and "Final Deliverables" created specifically for you, upon full payment.

Consultant Background IP

I retain rights to my pre-existing code libraries and tools. You get a perpetual, royalty-free license to use them as part of the deliverable.

4. Payment Terms

  • Invoices are due upon receipt or within Net-15 days unless otherwise specified.
  • Late payments incur interest at 1.5% per month.
  • Fees are exclusive of applicable taxes (VAT, GST).
  • All initial contracts and payments are processed exclusively through third-party platforms (Upwork/Fiverr) to ensure mutual compliance and security.

5. Confidentiality

Both parties agree to keep confidential all non-public information. This obligation extends to my employees and subcontractors.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Consultant be liable for indirect, incidental, or consequential damages. Total cumulative liability shall not exceed the total fees paid by the Client during the six (6) month period preceding the claim.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Consultant from any claims, damages, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

8. Non-Solicitation

During the term of this Agreement and for a period of twelve (12) months thereafter, neither party shall directly or indirectly solicit, recruit, or hire any employee or contractor of the other party without prior written consent.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute shall be resolved through binding international arbitration in accordance with International Arbitration Rules.
